In case of a critical failure, the negotiation goes sour. The merchant, offended by your attempt to reduce the price, not only refuses to lower the price but you also lose any discounts previously acquired through your successful negotiation tests.
Example:
After 2 successes, you get a result of 1 for your negotiation test with a difficulty of 12, resulting in a critical failure. The merchant, outraged, breaks off all negotiations.
